These Terms of Service govern your use of goodsoup.dev and any related services provided by Dena Vongchanh LLC, doing business as Good Soup ("Good Soup," "we," "us," or "our"). By accessing or using the website, you agree to these terms. If you do not agree, please do not use the website.
1. About These Terms
These Terms of Service (the "Terms") apply to your use of goodsoup.dev, including all pages, content, tools, forms, and resources made available through the website (collectively, the "Website"). These Terms do not govern paid client engagements, which are governed by separate Services Agreements signed between Good Soup and the client.
If you have entered into a paid Services Agreement with Good Soup, the terms of that agreement control any conflict between that agreement and these Terms.
2. Use of the Website
You may use the Website for lawful purposes, to learn about Good Soup's services, to take the Health Check self-assessment, to submit inquiries, to read published content, and to subscribe to communications.
You agree not to:
- Use the Website in any way that violates applicable law or these Terms
- Attempt to access areas of the Website not intended for public use
- Scrape, copy, or reproduce Website content for commercial use without written permission
- Interfere with the operation of the Website, including by introducing malware or attempting to overload the Website
- Impersonate another person or organization when submitting inquiries or other information
- Use any automated system to access the Website except for standard search engine indexing
3. The Health Check and Other Tools
The Website includes a free Health Check self-assessment and may include other free tools, guides, and resources from time to time.
Informational Only. The Health Check and any other tools on the Website are informational and educational only. They are not professional advice for your specific situation. Scores, recommendations, or outputs generated by these tools are based on general inputs and do not account for the full context of your organization, your data, or your operations.
No Reliance. You should not make business, financial, or operational decisions based solely on the outputs of any free tool on the Website. For decisions affecting your organization, consult a qualified professional who can review your specific situation. Engaging Good Soup for a paid service is one way to get that review.
No Data Storage. As of the date of these Terms, the Health Check does not save or transmit your responses or results to Good Soup. Your answers remain in your browser session only. If this changes, these Terms will be updated and disclosed accordingly.
4. Content and Intellectual Property
All content on the Website, including text, graphics, logos, service descriptions, methodologies, frameworks, the Health Check tool, downloadable resources, and the Good Soup brand and visual identity, is the property of Dena Vongchanh LLC or used with permission. This content is protected by copyright, trademark, and other applicable laws.
You may view, download, and share Website content for your own personal or internal organizational use, with attribution to Good Soup. You may not republish, sell, sublicense, or commercially distribute Website content without written permission.
Good Soup's methodologies, audit frameworks, internal tools, and proprietary processes remain the property of Good Soup at all times, including in the context of paid engagements, except as specifically transferred in a signed Services Agreement.
5. Inquiries, Submissions, and Communications
The Website includes forms that allow you to submit inquiries, applications, and other communications to Good Soup. By submitting information through these forms, you confirm that the information you provide is accurate and that you have the authority to share it on behalf of your organization, if applicable.
No Client Relationship Created. Submitting an inquiry, taking the Health Check, reading Website content, or otherwise interacting with the Website does not create a client, advisor, or professional relationship between you and Good Soup. A client relationship begins only when both parties have signed a Services Agreement and any required payment has been received.
Confidentiality of Submissions. Good Soup treats inquiry and application submissions as confidential and does not share them publicly or with third parties except as needed to respond to your inquiry, deliver services if you become a client, or comply with applicable law.
6. Third-Party Services and Links
The Website uses and links to third-party services, including but not limited to Typeform (inquiry forms), Substack (newsletter), Vimeo (video), Calendly (scheduling), Stripe (payment), and DocuSeal (electronic signatures). The Website also links to third-party social platforms such as Instagram and LinkedIn.
Good Soup does not control these third-party services and is not responsible for their content, practices, or terms. Your use of any third-party service is governed by that service's own terms and privacy policy. Please review them before submitting information to or otherwise using these services.
7. Disclaimers
The Website and all free content, tools, and resources on it are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.
No Professional Advice. Information on the Website is provided for general informational purposes only. It is not legal, financial, accounting, tax, or fundraising advice tailored to your organization. Reading Website content does not substitute for professional consultation appropriate to your situation.
No Guarantee of Results. Good Soup makes no guarantees about fundraising outcomes, donor retention, revenue, system performance, or any other results based on information provided on the Website. Results depend on many factors outside Good Soup's control, including your team's implementation, your data, your strategy, and your organizational context.
Availability. Good Soup does not guarantee that the Website will be available without interruption, free of errors, or secure against unauthorized access. Good Soup may modify, suspend, or discontinue any part of the Website at any time without notice.
8. Limitation of Liability
To the maximum extent permitted by law, Good Soup, its owner, contractors, and affiliates are not liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Website. This includes loss of revenue, loss of data, business interruption, or other losses, even if Good Soup has been advised of the possibility of such damages.
Good Soup's total liability arising from or related to these Terms and your use of the Website is limited to one hundred dollars ($100), or, if you are a paid client, the amount paid under your Services Agreement, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.
9. Customer Support
For questions about your engagement, support during a project, billing or payment questions, or any service-related issue, please reach out through our contact form. Good Soup typically responds within one business day.
10. Refunds and Cancellations
Good Soup's paid services are governed by individual Services Agreements signed between Good Soup and each client. Each Services Agreement specifies the cancellation window, refund eligibility, and any administrative fees that apply to that engagement.
As a general policy:
- Clients may cancel within the cooling-off period defined in their Services Agreement and receive a refund of the fee paid, less any administrative fee described in that agreement.
- After the cooling-off period ends, fees are non-refundable except as specifically provided in the Services Agreement.
- If Good Soup cancels an engagement before delivery, the Client receives a full refund of any unearned portion of the fee.
- Once final deliverables have been provided, the full fee is earned and no refund is owed.

11. Indemnification
You agree to indemnify and hold Good Soup, its owner, contractors, and affiliates harmless from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of your violation of these Terms, your misuse of the Website, or your violation of any law or third-party right.
12. Modifications to These Terms
Good Soup may update these Terms from time to time. When changes are made, the "Last Updated" date at the top of this page will be revised. Significant changes may also be communicated through the Website or by email if you have subscribed to communications. Your continued use of the Website after changes are posted constitutes acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising from or related to these Terms or your use of the Website will be resolved as follows:
- The parties will first attempt to resolve the dispute through good-faith informal discussion.
- If informal discussion does not resolve the dispute within 30 days, the parties will submit to non-binding mediation in California before pursuing any other legal action.
- If mediation does not resolve the dispute, exclusive jurisdiction and venue lie in the state or federal courts located in California.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any signed Services Agreement, constitute the entire agreement between you and Good Soup regarding your use of the Website.
